1. Acceptance of Terms

By creating an account, accessing, or using the services provided at https://vividoo.app, you enter into a legally binding agreement with Sapon Group s. r. o. (Company ID: 57074551, VAT ID: SK2122560616, Tax ID: 2122560616, registered office at Nedanovce 4, 958 43 Nedanovce, Slovakia).

If you do not agree to these Terms of Service, you must not access or use the application.

2. Eligibility and Account Registration

  • Age Requirement: You must be at least 18 years old or the legal age of majority in your jurisdiction to create an account.
  • Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  • Accuracy: You agree to provide accurate, current, and complete information during registration and keep your account details updated.

3. Communications and Notifications

When you create a vividoo account, service-related, onboarding, blog, and promotional email notifications are enabled by default. You may manage these preferences and turn off any category at any time in the Notifications section of your account profile. Promotional and marketing emails include a one-click unsubscribe link that disables the relevant category and redirects you to your notification preferences.

4. Subscriptions, Credits, and Billing

  • Payment Processing: All payment transactions, subscription billing, and invoices are processed securely through our third-party payment partner, Stripe.
  • Subscription Plans: Subscriptions renew automatically at the end of each billing cycle unless canceled prior to the renewal date via your account settings.
  • Credit Allocation: Monthly subscription credits are allocated at the beginning of each billing period. Unused monthly credits expire at the end of the billing cycle and do not roll over. Separately purchased credit top-up packs remain active as specified at the time of purchase.
  • Statutory Right of Withdrawal: By subscribing or purchasing credits, you expressly request immediate execution of digital performance and acknowledge that you lose your statutory right of withdrawal once the digital service delivery or credit consumption has commenced.
  • Refund Policy: Payments are non-refundable except where explicitly required by mandatory applicable law or granted at our sole discretion.

5. User Content and AI Generations

  • Input Content: You retain ownership of all images, text prompts, and media files you upload to the platform. You represent and warrant that you hold all necessary rights and permissions for any uploaded materials.
  • Generated Outputs: Subject to your compliance with these Terms, you are granted full commercial rights to use, modify, display, and distribute the images and design outputs generated for you by the service.
  • License to Operate: You grant Sapon Group s. r. o. a limited, worldwide, non-exclusive license to host, store, process, and transmit your uploaded inputs and generated outputs solely for the purpose of rendering the requested AI services and providing technical support.

6. Prohibited Activities

You agree not to use the service to:

  • Generate, upload, or share content that is illegal, defamatory, obscene, invasive of privacy, or infringing upon third-party intellectual property rights.
  • Attempt to reverse-engineer, decompile, extract source code, or bypass technical safeguards of the platform or underlying AI models.
  • Engage in automated scraping, bot attacks, or actions that place an unreasonable load on our technical infrastructure.
  • Resell or sublicense access to the platform to third parties without prior written consent.

7. Service Availability and Modifications

We strive for continuous service uptime but do not guarantee uninterrupted access. Sapon Group s. r. o. reserves the right to modify, suspend, or discontinue any feature, API, or part of the platform at any time with or without prior notice to conduct maintenance or implement updates.

8. Limitation of Liability and Warranties

  • Disclaimer: The platform and AI-generated outputs are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. AI outputs are probabilistic by nature and may occasionally produce unexpected results.
  • Liability Cap: To the maximum extent permitted by applicable law, Sapon Group s. r. o. shall not be liable for any indirect, incidental, special, or consequential damages. Our aggregate liability for any claims arising out of or relating to these Terms shall not exceed the total amount paid by you to us in the twelve (12) months preceding the incident.

9. Account Termination

  • Termination by You: You may cancel your subscription or request account deletion at any time through your account settings or by contacting customer support.
  • Termination by Us: We reserve the right to suspend or terminate your account immediately without prior notice if you violate these Terms or engage in fraudulent or harmful activities.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Slovak Republic, without regard to conflict of law principles. Any legal proceedings or disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the competent courts of the Slovak Republic.
